Terms of Service

1. About these terms
These terms govern your use of the services provided by RedQA (“we”, “us”, “our”), including QA testing services, test automation engagements, accessibility testing, and the RedQA Accessibility Scanner. By engaging our services or using our products, you agree to these terms.

2. Services
RedQA provides quality assurance and testing services as described in the relevant Statement of Work (“SOW”) or service agreement agreed between you and RedQA. The specific scope, deliverables, timeline, and pricing for each engagement are set out in that agreement. In the absence of a separate SOW, these terms apply.
3. Payment
- Fees are set out in the relevant SOW or invoice. Prices are in GBP and exclusive of VAT unless otherwise stated.
- Payment is due within 14 days of invoice unless otherwise agreed in writing.
- We reserve the right to pause or suspend work on overdue accounts. Late payment interest may be charged at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
- For the Accessibility Scanner subscription, payment is monthly in advance. Subscriptions auto-renew until cancelled.
4. Intellectual property
All deliverables created by RedQA under a paid engagement, including test scripts, test frameworks, reports, and documentation, become your property upon receipt of cleared payment in full. RedQA retains no claim over your work product.
RedQA retains ownership of its own tools, frameworks, methodologies, and any pre-existing intellectual property it brings to an engagement.
5. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party in connection with an engagement. This obligation survives termination of the engagement for a period of three years.
RedQA staff operate under non-disclosure and will not disclose your systems, code, or data to any third party without your written consent, except as required by law.
6. Warranties and liability
RedQA will perform services with reasonable skill and care. We do not, however, warrant that testing will identify all defects in your software, or that your software will be defect-free following engagement.
To the maximum extent permitted by law, our total liability in connection with any engagement is limited to the fees paid by you in the three months preceding the relevant claim. We are not liable for indirect, consequential, or special losses.
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
7. Cancellation and termination
Either party may terminate any ongoing engagement by giving 30 days written notice, unless a different notice period is set out in the relevant SOW.
For the Accessibility Scanner, you may cancel your subscription at any time. No refund is given for the current billing period, but you retain access until the period ends.
RedQA may terminate immediately if you are in material breach of these terms and fail to remedy the breach within 14 days of written notice.
8. Acceptable use of the Accessibility Scanner
You may only scan domains you own or have authorisation to test. You may not use the scanner to test third-party websites without their permission. RedQA reserves the right to suspend access for accounts that abuse the service or violate these terms.
9. Data and privacy
Our use of your personal data is set out in our Privacy Policy. Any data you share with us in the course of an engagement is used only to perform the agreed services.
10. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to these terms
We may update these terms from time to time. The current version will always be published at redqa.com/terms. Continued use of our services after an update constitutes acceptance of the revised terms.
